PLEASE READ THESE TERMS OF USE CAREFULLY. By registering on or using the Platforms (defined below), you enter into a legally binding agreement with IJCP Publications Pvt. Ltd. If you do not agree to these Terms, you must not access or use the Platforms.

1. About IJCP and the Platforms

IJCP Publications Pvt. Ltd. ("IJCP", "Company", "we", "us", or "our"), incorporated under the Companies Act with its registered office at Hauz Khas Village, New Delhi – 110016, operates a network of healthcare communication platforms (collectively, the "Platforms"):

  • Medtalks.in — flagship HCP web platform
  • hcp.medtalks.in — verified physician engagement portal
  • eMediNexus.com — secondary medical knowledge platform
  • Medtalks TV — video-first HCP content brand
  • Associated mobile applications on iOS and Android

The Platforms function as online medical education and professional networking resources for verified healthcare professionals. They host continuing medical education (CME) content, clinical updates, peer interaction, sponsored medical content, and conference and webinar facilitation.

2. Acceptance and Eligibility

2.1 Binding Agreement

By clicking "I accept" at registration, by ticking the consent checkbox, or by accessing the Platforms, you agree to be bound by these Terms of Use, our Privacy Policy, and any additional policies referenced herein. These Terms apply to all users — whether visitors, Registered Users, or institutional clients — and to access via web, mobile applications, or any other medium.

2.2 Eligibility

You may use the Platforms only if:

  • You are at least 18 years of age (or 20 years of age if you are accessing from Thailand)
  • You are legally competent to enter into a binding contract under applicable law
  • You are a qualified healthcare professional or, if registering as a consumer, you understand the Platforms are for educational purposes only
  • You have not been previously suspended or removed from the Platforms

Where you register on behalf of a business or institution, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Verification

3.1 Registration Requirements

To access most features, you must register and create a password-protected account ("Account"). At registration, you will be asked to provide:

  • Full name and contact details
  • Mobile number and email address
  • Medical Council of India / National Medical Commission registration number, or equivalent professional licence
  • Specialisation and institutional affiliation
  • Date of birth (for age verification)
3.2 Verification of Credentials

All HCP registrations are subject to verification of professional credentials against authoritative third-party medical council databases or equivalent registries. We reserve the right to delay, suspend, or reject registration where credentials cannot be verified. Submission of false or misleading credentials is grounds for immediate termination and may attract legal action.

3.3 Consent at Registration

At registration, you will be presented with the following separate consent options:

Required Consent: I accept the Terms of Use and Privacy Policy.

Optional Consent: I consent to receive medical education content, CME alerts, clinical updates, and relevant pharmaceutical partner communications from IJCP and its verified industry partners. I understand my professional profile may be shared with verified pharmaceutical companies for therapy-area-relevant outreach. I may withdraw this consent at any time through my Account settings.

You may use the Platform's core educational features without granting the optional consent. Withdrawing the optional consent does not affect your right to use the Platforms — only the marketing and pharma engagement features tied to it. Withdrawal can be effected at any time via your Account preferences or by writing to nilesh@medtalks.net.

3.4 Account Security

You are solely responsible for safeguarding your password and for all activity that occurs under your Account. You must notify us immediately at nilesh@medtalks.net of any unauthorised access. You must not share your credentials, allow others to use your Account, or use another user's Account.

3.5 Accuracy of Information

You agree to provide true, accurate, current, and complete information at registration and to maintain its accuracy throughout your use of the Platforms. You will promptly update your professional information if it changes.

4. Permitted Use and Acceptable Use Policy

4.1 Licence to Use

Subject to these Terms, IJCP grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platforms for personal, non-commercial professional development and educational purposes.

4.2 Prohibited Activities

You shall not:

  • Copy, distribute, modify, reverse-engineer, or create derivative works of any part of the Platforms or its content without prior written consent
  • Use any automated system (bots, scrapers, spiders, crawlers) to access, harvest data from, or interact with the Platforms
  • Collect personal information of other users (including names, contact details, or professional information) for any purpose whatsoever
  • Interfere with the proper functioning of the Platforms or attempt to bypass any security measure
  • Use the Platforms to send unsolicited communications to other users
  • Recruit Registered Users for employment or business unaffiliated with IJCP
  • Upload viruses, malware, or any malicious code
  • Use the Platforms in violation of any applicable law or regulation
4.3 Prohibited Content

You may not upload, post, transmit, or share any content that:

  • Is defamatory, libellous, obscene, indecent, or harassing
  • Violates any person's privacy or intellectual property rights
  • Discloses identifiable patient information without lawful consent and de-identification
  • Promotes illegal activity, hate speech, or violence
  • Constitutes unsolicited commercial communication, spam, or chain content
  • Misrepresents clinical evidence, medical guidelines, or therapeutic claims
  • Promotes prescription drugs, medical devices, or therapies in a manner contrary to UCPMP 2024, the Drugs and Magic Remedies (Objectionable Advertisements) Act 1954, or applicable medical advertising regulations
  • Contains content that is unlawful under Indian law or the law of the user's jurisdiction

5. Medical Disclaimer and No Doctor-Patient Relationship

CRITICAL: The Platforms are educational and informational resources. They are not a substitute for professional medical judgment, diagnosis, or treatment.

5.1 No Medical Advice

Content on the Platforms — including videos, articles, case discussions, CME modules, and peer commentary — is for educational and informational purposes only. It is not intended to constitute medical advice, diagnosis, or treatment recommendations. Reliance on Platform content is at the user's own risk and professional judgement.

5.2 No Doctor-Patient Relationship

No doctor-patient relationship is created between IJCP, contributing HCPs(Healthcare Practitioners) , sponsors, and any user of the Platforms. Healthcare professionals using the Platforms remain solely responsible for their own clinical decisions and must independently verify any clinical information before applying it in patient care.

5.3 Off-Label and Sponsored Content

Some content may discuss off-label uses of approved drugs or therapies under regulatory review. Such discussion is presented for academic and educational purposes only. HCPs are responsible for prescribing in accordance with applicable regulatory approvals and clinical judgement in their jurisdiction.

5.4 Emergency Disclaimer

The Platforms are not a substitute for emergency medical services. In the event of a medical emergency, contact emergency services immediately.

6. CME, Educational Content, and Accreditation

6.1 CME Activities

Where the Platforms offer CME-accredited activities, the accreditation, credit calculation, and certification are governed by the policies of the relevant accrediting body (such as state medical councils, the National Medical Commission, or equivalent international bodies). IJCP's role is limited to facilitating the educational activity.

6.2 Credit Recognition

Recognition of CME credits earned on the Platforms by your local medical council or licensing authority is the user's responsibility. IJCP does not warrant that credits will be recognised in any specific jurisdiction.

6.3 Sponsored CME

Some CME activities are funded by pharmaceutical companies, medical device manufacturers, or other industry sponsors. Where this is the case, sponsorship will be clearly disclosed on the activity page in compliance with UCPMP 2024 and applicable medical advertising codes. Sponsorship does not influence editorial content, which remains under the control of the scientific committee or course director.

7. User-Generated Content

7.1 Submitted Content

"Submitted Content" means any content — including text, images, video, case studies, comments, profile information, or feedback — that you upload, post, or share on the Platforms.

7.2 Patient Privacy and Case Material

If you upload clinical case material:

  • You must remove all personally identifiable patient information (name, MRN, identifiable images) prior to upload
  • You confirm you have obtained any necessary patient consent under applicable law
  • You are solely responsible for any breach of patient confidentiality arising from your Submitted Content
  • IJCP reserves the right to remove any content that appears to identify a patient
7.3 Your Representations

By submitting content, you represent that:

  • You own or have all necessary rights, licences, consents, and permissions to submit the content
  • The content does not infringe any intellectual property, privacy, publicity, or other rights of any person
  • The content complies with these Terms and applicable law
  • You have authority and clinical accuracy in any medical claims made
7.4 Licence to IJCP

By submitting content to the Platforms, you grant IJCP a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display, distribute, translate, and adapt your Submitted Content solely for the purposes of operating, providing, promoting, and improving the Platforms and the services offered through them. This licence terminates when you remove the content from the Platforms, except for backup copies retained for a reasonable period and any content that has been incorporated into shared educational compilations prior to removal.

7.5 No Confidentiality

Submitted Content shared in publicly accessible areas of the Platforms is not confidential. Do not submit any content you wish to keep private. For confidential medical or legal communications, do not use the Platforms.

7.6 Right to Remove

IJCP reserves the right (but not the obligation) to review, edit, or remove any Submitted Content that violates these Terms, infringes rights, or is otherwise objectionable, with or without notice. We will remove infringing content upon receipt of a properly substantiated complaint under Section 12.

8. Sponsored Content and Pharmaceutical Communications

8.1 Disclosure of Sponsorship

The Platforms carry sponsored content from pharmaceutical companies, medical device manufacturers, and other healthcare industry partners. All sponsored content is clearly labelled as such, in compliance with the Uniform Code for Pharmaceutical Marketing Practices (UCPMP) 2024 and applicable medical advertising codes.

8.2 Pharmaceutical Communications

If you have provided the optional consent at registration (or subsequently), you may receive product information, scientific updates, sponsored CME, and industry communications from pharmaceutical partners. Such communications:

  • Will be relevant to your specialisation and therapy area
  • Will be sent only by IJCP or by partners under contract with IJCP
  • Will identify the sponsor clearly
  • May be discontinued at any time by withdrawing consent through your Account settings
8.3 No Endorsement

The presence of sponsored content does not constitute endorsement by IJCP of any product, service, or therapeutic claim. HCPs are responsible for independent verification and clinical judgement. IJCP is not liable for any loss arising from reliance on sponsored content.

8.4 Direct-to-Consumer Restrictions

Where the Platforms are accessed by non-HCP users, no prescription drug advertising will be served. Patient education content complies with the Drugs and Magic Remedies (Objectionable Advertisements) Act 1954.

9. Intellectual Property

9.1 IJCP Content

All content on the Platforms — excluding Submitted Content — including text, graphics, logos, video, audio, software, design, and the Medtalks, eMediNexus, and Medtalks TV trademarks (collectively, "IJCP Content") — is owned by or licensed to IJCP and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited Personal Licence

IJCP grants you a limited, revocable, non-transferable, non-sublicensable licence to access and view IJCP Content for personal, non-commercial professional development. You may not reproduce, distribute, publicly display, modify, or create derivative works of IJCP Content without prior written authorisation.

9.3 Trademarks

"Medtalks", "hcp.medtalks", "eMediNexus", "Medtalks TV", and the IJCP logo are trademarks of IJCP. Other trademarks displayed on the Platforms are the property of their respective owners.

10. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, available at medtalks.in/privacy-policy, which is incorporated into these Terms by reference. By using the Platforms, you consent to the collection, use, and disclosure of your data as described in the Privacy Policy.

As a Data Fiduciary under the Digital Personal Data Protection Act 2023 (and equivalent under other jurisdictions' laws), IJCP is committed to processing your personal data lawfully and transparently. You retain rights to access, correct, withdraw consent, and request erasure of your personal data — exercisable through nilesh@medtalks.net or through your Account preferences.

11. Intermediary Status and IT Rules 2021 Compliance

11.1 Intermediary Status

IJCP operates the Platforms as an "intermediary" within the meaning of Section 2(1)(w) of the Information Technology Act, 2000. We host third-party content on a passive, automated basis and do not initiate transmission, select recipients, or modify Submitted Content beyond the technical functions required to operate the Platforms.

11.2 Due Diligence

IJCP observes the due diligence requirements under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, including:

  • Publishing these Terms of Use, the Privacy Policy, and applicable Additional Policies on the Platforms
  • Informing users of prohibited content and conduct
  • Operating a grievance redressal mechanism (Section 12)
  • Removing or disabling access to unlawful content within 36 hours of receipt of a court order or notice from the appropriate government agency
  • Retaining user registration records for 180 days following cancellation of registration or withdrawal as required by Rule 3(1)(g)
  • Providing reasonable assistance to authorised government agencies upon receipt of a written order in compliance with applicable law

12. Grievance Redressal Mechanism

12.1 Grievance Officer

In compliance with the IT Rules 2021 and the DPDP Act 2023, IJCP has appointed the following Grievance Officer:

12.2 Filing a Complaint

If you have a complaint about content on the Platforms, conduct of another user, or any aspect of our service, you may file a written complaint with the Grievance Officer including:

  • Your name, contact details, and Account ID (if applicable)
  • Nature of the complaint and the URL or location of the content (if applicable)
  • A statement of your relationship to the issue (e.g., copyright owner, affected user)
  • Supporting evidence
12.3 Response Timelines

In accordance with Rule 3(2) of the IT Rules 2021:

  • We will acknowledge your complaint within 24 hours of receipt
  • We will resolve the complaint within 15 days of receipt
  • Complaints relating to non-consensual intimate imagery, impersonation, or content harmful to minors will be resolved within 72 hours
12.4 Grievance Appellate Committee

If you are dissatisfied with the Grievance Officer's resolution, you may file an appeal with the Grievance Appellate Committee constituted under Rule 3A of the IT Rules 2021, accessible at gac.gov.in, within 30 days of receipt of the decision.

12.5 Data Protection Complaints

Complaints relating to processing of personal data may, in addition to the above, be escalated to the Data Protection Board of India once fully constituted under the DPDP Act 2023.

13. Termination

13.1 By You

You may terminate your Account at any time by emailing nilesh@medtalks.net or using the deactivation option in your Account settings.

13.2 By IJCP

IJCP may suspend or terminate your Account, with or without notice, if:

  • You breach these Terms of Use or any applicable policy
  • You provide false or misleading information at registration
  • Your continued use exposes IJCP or other users to legal or operational risk
  • Your Account is inactive for more than 24 months
  • Required by law, court order, or competent authority
13.3 Effect of Termination

Upon termination:

  • Your access to the Platforms ends immediately
  • Your Submitted Content may be retained or removed at IJCP's discretion, subject to any applicable data retention obligations
  • Provisions relating to intellectual property, indemnity, limitation of liability, dispute resolution, and governing law survive termination
  • IJCP retains the right to use anonymised data derived from your use of the Platforms

14. Disclaimers and Limitation of Liability

14.1 Disclaimer of Warranties

To the maximum extent permitted by law, the Platforms and all content are provided on an "as is" and "as available" basis. IJCP disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and uninterrupted availability.

14.2 Limitation of Liability

To the maximum extent permitted by applicable law, IJCP and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or business opportunity — arising out of or in connection with your use of the Platforms, even if advised of the possibility of such damages.

IJCP's total aggregate liability arising out of or in connection with these Terms or your use of the Platforms shall not exceed the higher of (a) the total fees paid by you to IJCP in the 12 months preceding the event giving rise to the claim, or (b) Indian Rupees Ten Thousand (₹10,000).

14.3 Statutory Rights

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law — including liability for fraud, wilful misconduct, or any liability under the Consumer Protection Act 2019 that cannot be lawfully excluded.

14.4 Force Majeure

Neither party shall be liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, civil unrest, terrorism, governmental action, or failure of public infrastructure.

15. Indemnity

You agree to defend, indemnify, and hold harmless IJCP and its officers, directors, employees, and affiliates from and against any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or applicable law
  • Your Submitted Content, including any breach of patient confidentiality or third-party intellectual property
  • Your misuse of the Platforms
  • Any clinical decision you make based on Platform content

This indemnity does not extend to losses caused by IJCP's own gross negligence, wilful misconduct, or breach of these Terms.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of India, without regard to its conflict of laws principles.

16.2 Pre-Litigation Resolution

Before initiating any formal proceedings, you agree to first contact IJCP at nilesh@medtalks.net to seek an amicable resolution. The parties shall attempt good-faith resolution for at least 30 days before escalation.

16.3 Arbitration

If amicable resolution fails, any dispute arising out of or in connection with these Terms shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator in New Delhi, India, in the English language. The arbitrator's award shall be final and binding.

16.4 Consumer Rights Preserved

Nothing in this Section limits any non-waivable right you may have to approach a Consumer Disputes Redressal Forum under the Consumer Protection Act 2019 or equivalent consumer protection legislation in your jurisdiction.

16.5 Jurisdiction

Subject to Section 16.3, the courts at New Delhi, India shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.

17. Jurisdiction-Specific Provisions (South East Asia)

If you are accessing the Platforms from a country in South East Asia, the following additional provisions apply:

17.1 Singapore

Use of the Platforms is governed by the Singapore Personal Data Protection Act 2012 (as amended). You may file complaints with the Personal Data Protection Commission, Singapore at www.pdpc.gov.sg.

17.2 Thailand

Minimum age of use is 20 years. The Thailand Personal Data Protection Act applies. Complaints may be filed with the Office of the Personal Data Protection Committee, Thailand.

17.3 Indonesia

The Indonesian Personal Data Protection Law applies. Data breach notifications will be issued within 14 days of discovery as required. Complaints may be filed with the Ministry of Communications and Digital Affairs.

17.4 Philippines

The Philippines Data Privacy Act 2012 applies. Complaints may be filed with the National Privacy Commission at www.privacy.gov.ph.

17.5 Malaysia

The Malaysia Personal Data Protection Act (as amended 2024) applies. Complaints may be filed with the Personal Data Protection Commissioner at www.pdp.gov.my.

18. Miscellaneous

18.1 Modification of Terms

IJCP may modify these Terms from time to time to reflect changes in law, technology, or business operations. Material changes will be notified via email or in-Platform notice at least 15 days before they take effect. Continued use of the Platforms after the effective date constitutes acceptance. If you do not agree with the changes, you may terminate your Account.

18.2 Modification of Platforms

IJCP may modify, suspend, or discontinue any aspect of the Platforms at any time, with or without notice. We shall not be liable for any such modification or discontinuation.

18.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. IJCP may assign these Terms in connection with a merger, acquisition, or business reorganisation, subject to equivalent privacy protections.

18.4 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.5 Waiver

Failure by IJCP to enforce any right or provision shall not constitute a waiver of that right or provision.

18.6 Entire Agreement

These Terms, together with the Privacy Policy and any Additional Policies, constitute the entire agreement between you and IJCP regarding your use of the Platforms and supersede all prior agreements.

18.7 No Third-Party Beneficiaries

These Terms create no rights for any third party except as expressly stated.

18.8 Notices

IJCP may provide notices via email, in-Platform notification, or by posting on the Platforms. You consent to receive electronic notices.
